The AIFC operates under its own legal framework based on English common law principles.
Any material changes to a company’s structure must be formally notified to the Registrar of Companies.
The following changes are subject to mandatory registration:
- appointment or removal of directors;
- change of registered office address;
- changes in shareholders or ownership structure;
- changes to share capital;
- amendments to the Articles of Association;
- changes in beneficial ownership (UBO);
- reorganisation or liquidation.
Failure to register such changes results in inaccurate registry records, which may create risks when dealing with banks, investors, and business counterparties.
