The decision should ideally specify the closing date, the person in charge, the procedure for handing over assets and documents, the revocation of the branch manager’s power of attorney, the closing of accounts, the completion of contracts, and the steps to be taken on taxes and employees. The more detailed the decision, the fewer questions arise from the accounting department, HR, the bank and counterparties.

Before approaching the registering authority, take stock of the branch’s obligations. Check the lease, utilities, reconciliation statements with suppliers and customers, stock balances, fixed assets, cash registers, seals, stamps, electronic keys and powers of attorney. If the branch signed contracts, they need to be terminated, performed or transferred to the parent LLP.

The branch regulations deserve a separate check. This document is part of the deregistration package. If the regulations have been lost, contain an old address or do not match the registration data, it is better to sort this out in advance – otherwise the documents may be returned for correction.

The tax side depends on how the branch was registered. If it had employees, a cash desk, property, vehicles, separate tax charges or its own reporting, you need to check the taxpayer accounts, close any notices, file the required forms and settle any debts. Tax legislation has special rules for closing structural units, so even a “dormant” branch is worth checking through the tax records.

Typical issues: an unclosed cash register, unfiled reports, discrepancies in social payments, unrecorded asset balances, old notices from the state revenue authorities. It is better to close these issues before the final filing rather than after a refusal or a request for information.

If the branch has employees, remember that the employer is the LLP, not the branch itself. Closing the unit therefore does not terminate employment contracts automatically. Employees can be transferred to another unit in compliance with the law, or made redundant through a headcount or staff reduction where there are grounds for it.

In practice, risks arise from incorrect notices, a lack of evidence that vacancies were offered, and delays in paying salaries, unused leave compensation and other amounts due. HR documents are best prepared in parallel with the tax and accounting work.

Deregistration of the branch

Once the internal preparation is complete, an application to remove the branch from record registration is filed via eGov or the State Corporation “Government for Citizens”. For a branch, this usually requires the application, the branch regulations and proof of payment where a fee applies to the particular applicant. On eGov, the service is listed as free of charge for small and medium-sized businesses.

The outcome is an order removing the branch from record registration or a reasoned refusal. It is important not to confuse this procedure with the liquidation of the LLP itself: if the parent company continues to operate, the branch does not need to go through the full liquidation procedure for a legal entity or publish a notice to creditors.

How long closing a branch takes

The public service is provided within 5 business days of filing the application with the required documents. But the overall project usually takes longer. If there are no employees, debts, cash registers, separate accounts or disputed contracts, closing an LLP branch in Kazakhstan can be done relatively quickly. If there are staff, tax discrepancies, lost documents, an unfinished lease or court disputes, the procedure can take several weeks or months.

The main causes of delay are the wrong body taking the decision; details in the branch regulations not matching the registration data; open contracts; valid powers of attorney; tax “loose ends”; and missing handover certificates for documents and assets. It also happens that a branch has long since stopped operating but is still on the register, with valid powers or obligations still outstanding in its name.
