Which Changes Must Be Registered with the AIFC

A Private Company in the AIFC Is Governed by AIFC Law Based on English Common Law

The AIFC operates under its own legal framework based on English common law principles.
Any material changes to a company’s structure must be formally notified to the Registrar of Companies.
The following changes are subject to mandatory registration:
  • appointment or removal of directors;
  • change of registered office address;
  • changes in shareholders or ownership structure;
  • changes to share capital;
  • amendments to the Articles of Association;
  • changes in beneficial ownership (UBO);
  • reorganization or liquidation.
Failure to register such changes results in inaccurate registry records, which may create risks when dealing with banks, investors, and business counterparties.

When Post-Registration Filings Are Required

You are required to register changes with the AIFC if you:
  • sell shares or admit a new shareholder;
  • appoint or remove a company director;
  • change the registered office address in the AIFC;
  • change the company name;
  • amend the share capital or share structure;
